不管是国际形势变化下发达国家出现的高端制造回流现象,还是受劳动力成本、土地以及环境保护等因素的影响造成的低端制造转移东南亚的现象,抑或是我国鼓励中西部地区和东北地区承接产业转移的一系列政策支持,大批企业(尤其是外商投资企业)都面临着战略性转移或搬迁的实际问题。

A number of enterprises, especially foreign-funded enterprises, are facing the practical issue of either strategical transfer or relocation, whether it is caused by the reshoring of high-end manufacturing activity to the developed countries in context of the changing global circumstances, or by the transfer of low-end manufacturing to ASEAN region due to labor cost, land or environment protection issues, or by a series of policies in China aiming at encouraging and supporting central & western region and northeast region to embrace the industrial transfer.


本次线上活动将主要从税法和劳动法的角度详细分析外商投资者在其产业链外迁时可选择的几种途径、可能面临的问题及其解决方案,以确保产业链转移平稳、顺利进行,实现既定目标及利益最大化。

This online event will be analyzing, from the perspective of tax law and employment law, possible approaches for industrial chain transfer as well as potential problems, which foreign investors may face during the transfer,and providing solutions to those problems in order to ensure a smooth and successful transfer and help foreign investors to achieve the pre-set goals and maximum benefits.


本次线上活动语言为中文,欢迎财税部、法务、企业投资部以及高级管理层等相关人员进行提问并分享经验。

This online event will be held in Chinese. Participants active in finance and tax, legal, corporate investment and senior management are welcomed to raise questions and share experience.

    邵万雷拥有中国南京大学和德国哥廷根大学的法学硕士学位。在1994年,他获得了中国律师资格并开始从事律师工作。从2000年到2006年,他在一家德国律师事务所驻上海代表处就职。2007年,他在上海成立了陆德劭和律师事务所,担任管理合伙人。
    邵万雷专精于资本市场法和跨国并购,帮助多家中国企业在德国和欧盟其他国家投资、并购,以及并购后的整合,并作为项目负责人,主导了10余家中国企业在德意志交易所的高级板完成首次公开发行股票。近年来,他致力于筹划欧盟在华投资企业在香港和中国境内发行股票和债券。邵万雷在并购项目中积累了企业处理涉及劳动法困境的丰富经验。

    SHAO Wanlei holds master’s degrees in law both from Nanjing University (China) and Georg-August-University Göttingen (Germany). He was admitted to the PRC bar in 1994 and has prac-ticed as a lawyer ever since. From 2000 to 2006 he worked for a German law firm’s Representa-tive Office in Shanghai. In 2007 he established Luther Law Offices and leads the firm as Managing Partner.
    SHAO Wanlei specializes in capital market law as well as cross-border M&A. He supports many Chinese investors in their investments, M&A and post-merger integration in Germany and other EU countries. He has advised as lead partner more than 10 Chinese enterprises on their IPOs in Prime Standard in German Stock Exchange (Deutsche Börse). He has been working on planning and preparing to support the European companies with operations in China to issue shares and bonds in mainland China as well as in Hong Kong. Shao Wanlei has extensive experience in deal-ing with labor related problems, which has been gained from numerous M&A projects handled dur-ing his career.

    朱琴律师拥有为跨国公司及国内外企业和个人提供税务服务的丰富经验,曾多次参与并主导并购重组项目中的税务架构设计;代表客户与中国税务局就集团内部重组事宜申请特殊性税务处理进行协商;帮助客户应对跨境交易中的反避税调查;向多家非居民企业就税收协定条款的适用及税收优惠待遇的申请提供税务咨询;为个人尤其是无住所的个人提供税务筹划的空间;在多起企业自查白领犯罪的案件中负责涉及财务和税务的调查工作。
    ZHU Qin has rich experience in providing tax consulting services. She has participated in and lead the tax structure for M&A projects several times; negotiated with Chinese authorities for the appli-cation of special tax treatment for intra-group restructuring on behalf of clients.; assisted clients to respond to general anti avoidance investigation in cross-border transactions; advised to non-resident enterprises to properly apply the tax treaty benefit and help to claim for tax treaty benefit; provided tax planning for individuals, particularly those non-domicile individuals in China. She was responsible for investigations involving finance and taxation matters in several white-collar criminal cases of self-examination by enterprises.
