Info for New Members - About VDMA CEO Breakfast



The CEO Breakfast series is aiming for Top Executives from VDMA members in China to inform them about current lead topics that affect their businesses.

In cooperation with selected industrial and business experts the target is to provide a CEO Breakfast series to VDMA members who are having concerns and need strategic guidance for their operations in China. During the breakfast time you will have this unique opportunity to exchange ideas with your peers and learn from the experts and from each other.



Objective:

At the end of 2023, China's legislature passed comprehensive revisions to both the Company Law and the Criminal Law of China. While the focus in the first weeks of 2024 was mostly on the many notable changes introduced by the revised Company Law, such as the reintroduction of the capital contribution timeline, the new audit committee, or the requirement to include employee representatives on the boards of large-sized companies. It is becoming increasingly clear that the strengthened care and diligence requirements for directors, supervisors, and senior management, combined with the potential of criminal liability, will demand even more attention and engagement in the future.

In this event, we will therefore discuss what directors, supervisors, and senior management of FIEs should know about the revised laws and what they can do to stay compliant and ahead of the developments.

1. Short introduction to China's revised Company Law and Criminal Law

2. Who is included as a director, supervisor, or senior management

3. New diligence and care requirements under the revised laws

4. New civil and criminal liability rules

5. What directors, supervisors, and senior management can do to stay compliant

    Kai Kim is a partner in Taylor Wessing’s China Group and a member of the firm's Corporate/Mergers & Acquisitions practice group. He advises on a broad scope of corporate and commercial law matters, ranging from the incorporation and operation of companies to cross-border M&A transactions, with a particular focus on China-related projects. He is recognized as a key lawyer for China M&A/Corporate in the Legal 500 Asia Pacific 2024.
    Besides his legal career, Kai is a graduate in Sinology and is a visiting lecturer at his alma matres, Humboldt University of Berlin and the Free University of Berlin, where he regularly teaches Chinese law. Furthermore, he collaborates with several startup programs supporting foreign startups entering the Chinese market, such as serving as a mentor with the German Accelerator program.
